Introduction
These Terms of Service ("Terms") govern your access to and use of the WileLink platform, website www.wilelink.com, and mobile applications (collectively, the "Platform"), operated by WileLink Inc ("WileLink," "we," "us," or "our").
WileLink is an AI-powered social commerce platform that combines a marketplace, a social network, and direct buyer-seller negotiation in one place. Sellers keep 91% of every sale on the Platform.
By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Platform.

- DEFINITIONS
For the purpose of these Terms of Service, the following definitions apply:
- "Platform" means the WileLink website at www.wilelink.com, the WileLink Seller App, and all related mobile applications and services.
- "User" means any person who accesses or uses the Platform, including buyers, sellers, and vendors.
- "Vendor" or "Seller" means a registered user who lists and sells products or services on the Platform.
- "Buyer" means a registered user who purchases products or services on the Platform.
- "Services" means all services provided by WileLink through the Platform.
- "Content" means all text, images, videos, audio, product listings, descriptions, posts, and other materials submitted to or displayed on the Platform.
- "Platform Fee" means the 9% fee charged by WileLink on every transaction completed through the Platform.
- "Vendor Payout" means the 91% of each transaction amount paid to the vendor after the Platform Fee is deducted.
- "Verification Fee" means the one-time $50 fee paid by vendors to activate their seller account.
- "Pro Subscription" means the optional $20 per month vendor subscription that provides access to additional Platform features.
- "Stripe" means Stripe Inc, the third-party payment processor used by WileLink to process all payments and vendor payouts.
- "KYC" means Know Your Customer, the identity verification process required by Stripe for vendor payout activation.
- "Reputation Score" means the rating calculated for each vendor based on buyer feedback submitted through the Platform.
2. GENERAL TERMS
- These Terms of Service, together with our Privacy Policy and any other policies published on the Platform, constitute the complete and final agreement between you and WileLink regarding your use of the Platform.
- By accessing and using the Platform, you expressly consent to and agree to be bound by these Terms.
- WileLink reserves the right to modify, amend, or update these Terms at any time. Updated Terms will be posted on the Platform with a revised Effective Date. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.
- These Terms are governed by the laws of the State of New Jersey, United States of America, without regard to conflict of law provisions.
- You grant WileLink permission to use your information for legitimate purposes as described in these Terms and our Privacy Policy.
- Users are required to provide accurate, complete, and up-to-date information when using the Platform.
- Unauthorized data collection including data mining, scraping, hacking, or use of automated tools to extract Platform data is strictly prohibited.
- WileLink operates exclusively as a platform connecting buyers and sellers. WileLink is not a party to any transaction between buyers and vendors.
3. ELIGIBILITY
- You must be at least 18 years of age or have the legal capacity to enter into binding contracts under applicable law to use the Platform.
- If you are between 13 and 18 years of age, you may only use the Platform with the explicit consent and supervision of a parent or legal guardian. All actions taken by a minor on the Platform are the responsibility of their legal guardian.
- The Platform is not available to children under the age of 13.
- By using the Platform, you represent and warrant that you meet the eligibility requirements set forth in these Terms.
- You shall not use the Platform if you lack the legal capacity to enter into a contract or if you are prohibited from doing so by any applicable law, rule, or regulation.
- WileLink reserves the right to verify your eligibility and to terminate or restrict your access if you do not meet these requirements.
- You may only create one user account unless expressly permitted by WileLink. You may not share your account credentials with any third party.
4. REGISTRATION
- Registration is required to access most features of the Platform. To register, you must provide accurate personal information including your full name, email address, phone number, and a secure password.
- Vendors must also provide business information including business name, business structure, product category, and complete Stripe KYC onboarding to receive payouts.
- You may register using your Google account by linking it to your WileLink account.
- You are responsible for maintaining the confidentiality of your account credentials. You must promptly notify us at support@wilelink.com if you suspect unauthorized access to your account.
- WileLink reserves the right to refuse registration or terminate accounts at its sole discretion.
- Account information will be retained for 365 days after account deletion for audit and legal compliance purposes.
- When creating your account, and when subsequently using certain features, you must provide accurate and complete information and keep it updated.
5. PRICING AND FEES
- WileLink charges a flat 9% Platform Fee on every transaction completed through the Platform. This fee is automatically deducted from each sale. Vendors receive 91% of every sale as their Vendor Payout.
- All vendors must pay a one-time Verification Fee of $50 to activate their seller account. This fee is non-refundable once the account is activated.
- Vendors who have not completed verification within 15 days of receiving notice will have their selling privileges restricted until verification is complete.
- The Basic Plan is available to verified vendors at no additional monthly cost and includes up to 20 product listings.
- The Pro Subscription is available at $20 per month (promotional price - 75% off the regular price of $80 per month). The Pro Subscription provides unlimited product listings and access to additional Platform features.
- All prices on the Platform are displayed in US Dollars (USD).
- WileLink reserves the right to modify its fee structure with reasonable advance notice to users.
- All payments are processed exclusively through Stripe. By using the Platform, you agree to Stripe’s Terms of Service available at stripe.com/legal.
6. VENDOR TERMS
- To become a vendor on WileLink, you must complete registration, pay the one-time $50 Verification Fee, and complete Stripe KYC onboarding to receive payouts.
- Vendors are responsible for the accuracy of all product listings including title, description, price, photos, inventory, and shipping details.
- Vendors must ensure that all products listed comply with applicable laws and regulations including intellectual property rights, consumer protection laws, and import/export regulations.
- Vendors may not list counterfeit, illegal, hazardous, or prohibited products on the Platform.
- Vendors must fulfill orders promptly and provide accurate tracking information to buyers.
- Vendors must clearly state their refund and return policy on their store page.
- Vendors must maintain a professional standard of conduct in all communications with buyers on the Platform.
- WileLink reserves the right to remove any product listing that violates these Terms or applicable laws without prior notice.
- Vendors are solely responsible for collecting and remitting applicable taxes on their sales.
- Vendor accounts that are inactive for 12 consecutive months may be deactivated by WileLink.
7. BUYER TERMS
- Buyers may browse the Platform without registration but must register to make purchases.
- By placing an order, buyers agree to pay the full listed price plus any applicable shipping charges.
- Buyers are responsible for reviewing vendor return and refund policies before making a purchase.
- Buyers may submit ratings and feedback for vendors through the Platform’s reputation system following a completed purchase.
- Buyers may negotiate directly with vendors through the Platform’s negotiation feature where available.
- Buyers must not engage in fraudulent transactions, chargebacks abuse, or any form of payment fraud.
- WileLink does not guarantee the quality, safety, or legality of products listed by vendors. Buyers purchase at their own risk and should exercise due diligence.
8. FEE STRUCTURE AND PAYMENTS
- WileLink charges a 9% Platform Fee on every completed transaction. This consists of a 2% transaction processing contribution and a 7% platform service fee.
- Vendors receive 91% of every sale as their Vendor Payout. Payouts are processed through Stripe and transferred to the vendor’s connected bank account.
- Vendors must complete Stripe KYC onboarding to receive payouts. Vendors who have not completed KYC may sell but will not receive payouts until onboarding is complete.
- WileLink does not store full payment card details. All payment data is handled by Stripe in accordance with PCI DSS Level 1 standards.
- In cases where a refund is issued, the Platform Fee may be refunded at WileLink’s discretion depending on the circumstances.
- Vendors are responsible for any fees charged by their bank or financial institution for receiving payouts.
- WileLink reserves the right to withhold payouts if fraud, chargebacks, or violations of these Terms are suspected.
9. SHIPPING AND DELIVERY
- Vendors are solely responsible for shipping products to buyers. WileLink does not provide delivery services.
- Vendors must provide tracking information on the Platform upon product shipment. Buyers will receive email notifications with tracking details.
- WileLink has partnerships with USPS and FedEx that may provide shipping benefits to vendors. Details are available in the vendor dashboard.
- Estimated delivery times are determined by the shipping service selected by the vendor and are not guaranteed by WileLink.
- For international shipments, vendors must comply with all applicable customs and export regulations. Buyers are responsible for any import duties or taxes in their jurisdiction.
- International shipping is available to vendors who enable it in their product settings. International shipping is disabled by default.
- Once tracking data confirms delivery, the order is considered fulfilled.
10. RETURN AND REFUND POLICY
- Returns are subject to each vendor’s individual return policy as stated on their store page. WileLink does not impose a universal return policy.
- Buyers must contact the vendor directly to initiate a return or refund request in accordance with the vendor’s stated policy.
- If a customer is not satisfied with the vendor’s response, they may escalate the matter to WileLink by contacting support@wilelink.com. WileLink will review the situation and work with both parties to reach a fair resolution.
- In exceptional circumstances where WileLink is required to process a refund, the refund will be issued to the original payment method used by the buyer.
- Refund processing by banks may take up to 10-15 business days and is beyond WileLink’s control.
- WileLink does not guarantee the availability of a refund for any product or service. The final decision regarding refunds rests with the vendor subject to WileLink’s dispute resolution process.
- Certain products including consumable goods and personal hygiene items may not be eligible for return as specified by the vendor.
11. VENDOR REFUND POLICIES
- Each vendor operating on WileLink must clearly state their refund policy on their store page including the circumstances under which a refund will be issued, the timeframe for refund requests, and any applicable conditions.
- Vendors must process approved refunds within their stated processing timeframe.
- WileLink reserves the right to intervene if a vendor’s refund policy is found to be unclear, incomplete, or non-compliant with WileLink’s guidelines.
- Vendors who repeatedly fail to honor their stated refund policies may have their accounts suspended or terminated.
12. CONTENT AND USER SUBMISSIONS
- All content on the Platform including text, graphics, logos, images, audio, video, and software is protected by United States and international copyright laws.
- You retain ownership of the content you submit to the Platform. By submitting content, you grant WileLink a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, display, distribute, and modify your content for the purpose of operating and promoting the Platform.
- You are solely responsible for ensuring that your content does not violate any third-party rights including copyright, trademark, or privacy rights.
- WileLink may use AI moderation to review content before it goes live on the Platform. Content that violates these Terms may be removed without notice.
- You may not post content that is unlawful, defamatory, obscene, offensive, fraudulent, or violates any applicable law or regulation.
- You may not upload content that contains malware, viruses, or any harmful code.
- WileLink is not responsible for user-generated content and does not endorse any content posted by users.
13. INTELLECTUAL PROPERTY RIGHTS
- The WileLink Platform, including all software, design, graphics, and proprietary features, is the exclusive property of WileLink Inc and is protected by United States copyright law, trademark law, and international intellectual property treaties.
- WileLink™ is a trademark of WileLink Inc. US Copyright Registration No. TX 9-314-159 covers the WileLink website content.
- WileLink Inc has filed a USPTO provisional patent application covering core platform technology including AI-powered negotiation, NLP discovery, and the vendor reputation system. All rights reserved.
- You may not copy, reproduce, modify, distribute, or create derivative works based on any WileLink content or technology without prior written consent from WileLink.
- You are prohibited from using WileLink’s trademarks, logos, or brand names in any manner likely to cause confusion or that disparages WileLink.
- If you believe your intellectual property rights have been violated on the Platform, please contact our Copyright Agent at support@wilelink.com.
- The provisions of this section shall survive termination of these Terms.
14. SOCIAL COMMERCE FEATURES
- WileLink provides social commerce features including a social feed, vendor following, product tagging, and community interaction. These features are designed to facilitate discovery and engagement between buyers and vendors.
- Vendors may post content to their social feed including photos, product showcases, and updates. All content is subject to WileLink’s content guidelines.
- Buyers may follow vendors, like posts, share content, and interact with the WileLink community in accordance with these Terms.
- WileLink’s direct negotiation feature allows buyers to negotiate prices directly with vendors where the vendor has enabled this feature.
- Social content that violates WileLink’s community guidelines may be removed without notice.
- WileLink uses AI-powered personalization to customize your social feed based on your activity and preferences on the Platform.
15. REPUTATION SYSTEM
- WileLink operates a three-tier vendor reputation system that allows buyers to rate their experience with vendors following a completed transaction.
- Buyer ratings are private to each vendor and visible in their seller dashboard. Reputation scores may affect vendor visibility on the Platform.
- The reputation system is proprietary technology of WileLink Inc and is covered under WileLink’s USPTO provisional patent application.
- Buyers may submit ratings only for transactions they have completed on the Platform. False, fraudulent, or malicious ratings are prohibited.
- Vendors who receive a significant negative rating may submit an appeal to WileLink by contacting support@wilelink.com.
- WileLink uses AI review to validate certain ratings before they are applied to a vendor’s reputation score.
- WileLink reserves the right to remove ratings that violate these Terms or are determined to be fraudulent.
16. LIVE VIDEO COMMERCE
WileLink Live Video Commerce is currently in development and will be available to vendors upon completion. The following terms will apply upon launch:
- Vendors will be able to go live from the Platform to sell products directly to buyers in real time.
- Live streams are subject to WileLink’s content guidelines. Prohibited content includes but is not limited to adult content, hate speech, violence, and illegal activities.
- Buyers may purchase products during a live stream through the Platform’s integrated checkout without leaving the stream.
- Live streams may be saved and made available as replays on the vendor’s profile at the vendor’s discretion.
- WileLink is not responsible for technical issues or interruptions during live streams.
- Vendors may enable or disable video chat with buyers through their account settings.
- Calls are not recorded or stored by WileLink. Either party may end a call at any time. Calls may be reported to WileLink for safety concerns.
17. PODCAST FEATURE
WileLink offers a podcast feature that is currently available in limited capacity and is not actively promoted. The following terms apply to users of the podcast feature:
- Users retain ownership of all podcast content they create and submit to the Platform.
- By submitting podcast content, users grant WileLink a non-exclusive, royalty-free, worldwide license to host, distribute, and promote the content for the purpose of operating the Platform.
- Podcast content must not violate any third-party rights including copyright, trademark, or privacy rights.
- WileLink reserves the right to remove podcast content that violates these Terms without notice.
- WileLink does not endorse or guarantee the availability, quality, or suitability of any podcast content on the Platform.
18. BLOG FEATURE
- Users may create and publish blog content on the Platform. Users retain ownership of their blog content.
- By publishing blog content, users grant WileLink a non-exclusive, royalty-free, worldwide license to host, display, and distribute the content for the purpose of operating the Platform.
- Blog content must comply with WileLink’s content guidelines and must not violate any applicable laws or third-party rights.
- WileLink reserves the right to remove blog content that violates these Terms without notice.
19. USER CONDUCT
By using the Platform, you agree to the following conduct requirements:
- Provide genuine, accurate, and complete information at all times.
- Maintain the confidentiality of your account credentials and not share them with any third party.
- Not impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Not engage in fraudulent transactions, payment fraud, or chargeback abuse.
- Not use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
- Not post false, misleading, defamatory, offensive, or harmful content.
- Not interfere with or disrupt the Platform or its servers or networks.
- Not attempt to gain unauthorized access to any part of the Platform.
- Not use automated tools, bots, scrapers, or similar methods to access or collect data from the Platform.
- Not violate any intellectual property rights of WileLink or any third party.
You further undertake not to post content that:
- Belongs to another person without authorization.
- Is harmful, harassing, defamatory, obscene, pornographic, or otherwise objectionable.
- Is harmful to minors.
- Infringes any patent, trademark, copyright, or other intellectual property right.
- Violates any applicable law.
- Contains malware, viruses, or any harmful code.
- Is patently false and intended to mislead or harm any person or entity.
20. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless WileLink Inc and its directors, officers, employees, and agents from and against any losses, liabilities, claims, damages, costs, and expenses including reasonable legal fees arising out of or resulting from:
- Your use of the Platform.
- Your violation of these Terms of Service.
- Your violation of any rights of another party.
- Your content submitted to the Platform.
- Your conduct in connection with the Platform.
- Any transaction between you and another user of the Platform.
You agree to cooperate fully with WileLink in the defense of any claim. WileLink reserves the right to assume exclusive defense and control of any matter subject to indemnification by you.
21. LIMITATION OF LIABILITY
- TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WILELINK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
- WILELINK’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) $500 USD OR (B) THE TOTAL AMOUNT OF FEES PAID BY YOU TO WILELINK IN THE 12 MONTHS PRECEDING THE CLAIM.
- WILELINK IS NOT LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM: PLATFORM DOWNTIME OR TECHNICAL FAILURES; UNAUTHORIZED ACCESS TO YOUR ACCOUNT; ACTIONS OR CONTENT OF OTHER USERS; OR ANY THIRD-PARTY SERVICES INCLUDING STRIPE.
- THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND WHETHER EXPRESS OR IMPLIED.
- WILELINK DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION OF THE PLATFORM.
- THESE LIMITATIONS OF LIABILITY ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND WILELINK.
22. SUSPENSION AND TERMINATION
- WileLink reserves the right to suspend or terminate your access to the Platform at any time and for any reason including violation of these Terms, suspected fraud, or inactivity.
- WileLink may limit, deny, or create different levels of access for different users without prior notice.
- You may terminate your account at any time by contacting us at support@wilelink.com.
- Upon termination, your right to use the Platform ceases immediately. Any outstanding obligations including unpaid fees survive termination.
- WileLink is not liable for any damages or losses resulting from the suspension or termination of your account.
23. DISPUTE RESOLUTION AND ARBITRATION
- Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform shall first be addressed through good faith negotiations between the parties.
- If a dispute cannot be resolved through negotiation, it shall be settled exclusively through binding arbitration conducted in New Jersey, USA. The arbitration shall be conducted in English by a single mutually agreed arbitrator.
- The arbitrator’s decision shall be final and binding and enforceable in any court of competent jurisdiction.
- The costs of arbitration shall be shared equally unless otherwise determined by the arbitrator.
- NOTWITHSTANDING THE FOREGOING, EITHER PARTY MAY SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF IN ANY COURT OF COMPETENT JURISDICTION TO PROTECT INTELLECTUAL PROPERTY RIGHTS OR PREVENT UNAUTHORIZED USE OF THE PLATFORM.
- BY AGREEING TO THESE TERMS YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS.
- This arbitration clause survives termination of these Terms.
- Disputes relating to buyer and vendor transactions should first be directed to support@wilelink.com. WileLink will review the situation and work with both parties to reach a fair resolution.
24. FORCE MAJEURE
- Neither party shall be liable for any failure or delay in performance caused by events beyond their reasonable control including acts of God, natural disasters, epidemics, pandemics, war, terrorism, government actions, strikes, power outages, or internet service disruptions ("Force Majeure Event").
- The party affected by a Force Majeure Event shall promptly notify the other party in writing with details of the nature and expected duration of the event.
- During a Force Majeure Event, the affected party’s obligations shall be suspended to the extent affected by the event.
- If a Force Majeure Event continues for more than 30 days, either party may terminate these Terms by providing written notice to the other party.
- A Force Majeure Event does not excuse payment obligations that have already accrued.
25. GRIEVANCE REDRESSAL
WileLink is committed to providing a secure and trustworthy platform. If you have any grievances, concerns, or complaints, please follow the process below:
- First contact our customer support team at support@wilelink.com. Our team will make reasonable efforts to address your concern within 5 business days.
- If your grievance is not adequately addressed by customer support, you may escalate the matter to our Grievance Officer.
- Our Grievance Officer will review your complaint and respond within 30 days.
- You are responsible for maintaining the confidentiality and security of your account. Do not share your login credentials with anyone.
- If you become aware of any security vulnerabilities in the Platform, please notify us immediately at support@wilelink.com.
- WileLink reserves the right to suspend or terminate access if security measures have been violated or fraudulent activities are suspected.

26. MISCELLANEOUS PROVISIONS
- Entire Agreement: These Terms together with the Privacy Policy and any other policies published on the Platform constitute the complete and final agreement between you and WileLink regarding the subject matter hereof.
- Waiver: The failure of WileLink to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without prior written consent from WileLink. WileLink may assign its rights and obligations without restriction.
- Notices: All notices to WileLink should be sent to support@wilelink.com or P.O. Box 532, Middlesex, NJ 08846, United States.
- Governing Law: These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law provisions.
- Changes to Terms: WileLink may update these Terms at any time. The most current version will always be available on the Platform. Your continued use after changes constitutes acceptance.
